Poor laptop performance

I think your problem is the graphic drivers, have you installed the latest ones?

A 5400rpm spindisk does not give you in-game lag/freeze, just longer loading screens. Especially with your graphic card that can hold up to 2GB, alongside with your RAM it should be cached just fine after initial load from HD.

Also check your CPU temperature, some computers have problems with that. The CPU gets overheated and are clocked down from etc 2.5Ghz to 0.8Ghz to reduce heat, which will make the game laggy as hell for a small ammount of time, when CPU is cold again (which usually takes seconds), it goes back to 2.5Ghz. (or whatever your initial cpu clock is on).

You can use programs like http://www.alcpu.com/CoreTemp/ to monitor your CPU heat and clock frequency.
And you can download Prime95 to stress test your CPU (the program will try to burn your CPU cores to 100% while test is running)

Run Prime95 while monitoring CPU and frequency and look at the behavior.

I'm saying the only thing I could see is your internet... You're computer seems capable of running it but you stated when you are online you get lags/freezes.
 
Took my laptop to my friends house, ping 24, download 10mb/upload 4mb, still freezing....
 
Repalced HDD with SSD, and using Windows 8 now - Diablo 3 running perfectly on high settings...
